These Terms are between E.J. Landrigan Inc. dba Verdura and you with respect to your use of the Website located at www.verdura.com (the "Website"). By using the Website, you agree to be bound by all of the terms and conditions (the “Terms”) as set forth in the section named Terms & Condition, as well as all applicable laws, without limitation or qualification. The following terms and conditions and any other related rules made available in writing by Verdura (collectively the “Conditions of Sale”) are applicable to all Verdura products that you (the “Customer”) may order from Verdura, a corporation organized and existing under the laws of the State of New York and having its corporate headquarters at 745 Fifth Avenue, Suite 1205, New York, NY 10151, U.S.A. (“Verdura” or referred to herein as “us”, “our” or “we”) either (1) by phone (toll free1.855-VERDURA /1.855.837.3872 or 212.758.3388) via sales support of Verdura, or (2) via Verdura’s Website, identified by the domain name “www.verdura.com” (the “Website”).
The Website may only be used for personal, non-commercial purposes. Such use is fully subject to these Terms, as well as all applicable laws, rules and regulations and any other agreements to which you are subject. This Website may not be used by you for any commercial purposes.
By placing an order through the Website to purchase Verdura products, you guarantee that you are a legitimate Customer in accordance with the terms and conditions set forth below and that you accept to be bound by these Conditions of Sale which apply only to sales made through the Website. The Conditions of Sale applicable to any order placed through the Website are those in force on the date you place your order. Sales conducted through the Verdura salon are not subject to these Conditions of Sale.
Verdura may modify the Conditions of Sale from time to time, at its sole discretion, and your continued use following such change will signify your agreement to be bound in the future by the modified Conditions of Sale. Please read the Conditions of Sale and check the Website on a regular basis to be informed of any changes.
Orders are limited to physical persons who are citizens or residents of the United States of America, the 50 states and its territories.
Verdura reserves the right, in its sole discretion, to refuse or cancel any order for any reason whatsoever, including without limitation, if you request Verdura to ship such orders to any of our excluded territories (please see the Website for details). Additionally, while we use reasonable efforts to avoid typographical errors, there may incidentally be a mistake in the pricing from time to time, and as such, we cannot confirm the price of an item until after you place your order. In the event that an item is listed at an erroneous price, we may cancel any orders for that item.
Verdura products are exclusively available for sale to end-user Customers only and may not be bought for re-sale, commercial purposes or any other commercial benefit. Consequently Verdura further reserves the right to refuse orders placed by Customers who breach this condition or if Verdura reasonably suspects, in its sole discretion, a Customer has breached, intends to breach, or evidences that it will breach this condition. Moreover, in the event that Verdura reasonably suspects that a third party has breached a customer’s registration, password and/or account login, Verdura shall immediately cancel and terminate the account.
3. PRODUCT AVAILABILTY
All orders placed through the Website are subject to availability and acceptance by Verdura. Verdura reserves the right to refuse at any moment in time, without prior notice, orders exceeding a certain number of authorized products. Currently, your order may not exceed two (2) products in any buying session on the Website. Verdura reserves the right to change the assortment of items offered and to limit the quantity of items that may be purchased from time to time and at any time, without prior notice.
Please note that only those items displaying a “purchase” button are available for sale through the Website. You may also call the sales support (toll free 1-855-VERDURA/ 1.855.837.3872 or 212.758.3388) and a Verdura Sales Executive will provide you with further information as to product availability and assist you with your purchase.
4.REGISTRATION AND PERSONAL INFORMATION
In certain instance you may need to register on the Website for a personal account. Your account is for your personal use only, and may not be assigned or transferred or used by any third party at any time. You are responsible for the veracity of the information you provide on the Website in connection therewith, including without limitation, your full name (i.e., no aliases or identity masking). You must protect the security of your password and shall be fully responsible for any unauthorized use thereof.
In order to place an order though the sales support on the Website, you or the Verdura Sales Executive on your behalf will be required to register and create an online account. During this process, you will be required to provide valid and up-to-date personal information, such as your legal name, date of birth, phone number and e-mail address.
Upon completion of your registration on the Website or by the Verdura Sales Executive, you will receive by email a one-time password, which will allow you to register on the Website and to choose a permanent account login and password. You are responsible for ensuring that your password and account login are kept secret at all times. Verdura will not be held responsible or liable for any misuse of your account in the event that a third party has access to and uses your password and account log in any way.
When placing an order through the Website, you will be required to provide other personal information as applicable, such as shipping address, billing address and credit card details. You represent and warrant that the personal information you provide to the Website is true, valid, complete and up-to-date in all respects, and you confirm that you are the person referred to in the shipping (unless the item is a gift) and billing information provided.
Should any of the information you provide to sales support on the Website change, please login to your account and update such information directly on the Website.
If you are ordering on the Website, orders will be processed as follows: Once you have chosen a product, click on the “Add to Shopping Bag” button to place this product in your shopping bag. You may then decide to continue shopping for other products and add them to your shopping bag (subject to availability and quantity limits) or proceed to “Checkout” by clicking on this button. You may also remove one or several products you have selected by clicking on the Shopping Bag. When you have completely reviewed your order, click on the “Place order” button on the Website to place your order.
Notwithstanding anything to the contrary provided herein, Verdura reserves the right to refuse, cancel and terminate orders at any moment in time. For example, Verdura may refuse your order if there is an ongoing dispute concerning payment of a prior order of it Verdura responsibly suspects that you have violated these Conditions of Sale or that you have engaged in fraudulent or grey market activities.
6. PRICES, TAX AND SHIPPING COSTS
All prices shown on the product pages of the Website are in U.S. Dollars.
All prices and offers remain valid as advertised. Verdura reserves the right to modify prices at any time without prior notice. The price of a product displayed on the Website, at the time your order is accepted by Verdura, will be honored by Verdura.
Applicable sales tax will be reflected in the Automated Confirmation email. Sales tax are not stated on the product pages but will be added to the product price after you have chosen your delivery options. The actual sales tax will be calculated when we dispatch the order. Please note that in exceptional cases, the actual sales tax charged to your order may vary depending on changes in applicable law between the date you place an order and the day we send you the Confirmation of Order. The sales tax is applicable to New York State deliveries.
7. PAYMENT BY CREDIT CARD
Verdura accepts the following credit cards: Visa, MasterCard, and American Express. When ordering on the Website, you will need to enter your payment details on the appropriate form. You hereby represent and confirm that you are the legitimate holder of the credit card that you will use for payment and that your payment details are correct. All credit/debit card holders are subject to validation checks and authorization by the card issuer. If the issuer of your payment card refuses to authorize payment to Verdura, you will need to contact your card issuer directly to solve this problem, and Verdura will not be liable for any delay or non-delivery. Upon authorization by the card issuer, the amount of your purchase will be charged and will only be debited from your bank account at the time of dispatch. To help ensure that your shopping experience is safe, simple and secure, all credit card transactions performed on the Website are processed using a secure online payment gateway that encrypts you card details in a secure host environment. Furthermore, Verdura will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of gross negligence on our part, we shall not be held liable for any loss you may suffer if a third party procures unauthorized access to any data you provide when accessing the Website. In order to secure your transactions and prevent fraud, by making an offer to purchase Verdura products on the Website through you expressly authorize Verdura to perform credit checks and, where Verdura deems necessary, to transmit or to obtain information (including any updated information) about you to or from third parties from time to time, including but not limited to your credit-card number, to authenticate your identity, to validate your credit card, to obtain an initial credit card authorization and to authorize purchase transactions.
8. REVIEW AND CONFIRMATION
You should carefully check all details before placing your order through the sales support or on the Website, including without limitation, the Order Number and the Particulars of the sale, which will be provided on the Website. Once you have confirmed and placed your order, Verdura will issue an Order Number, and acknowledge that it has received your order, which will be processed following the usual credit and anti-fraud checks. Please make sure that you save this Order Reference Number for any future enquiries. On placing an order through the Website, you are making an offer to Verdura to purchase the products, in accordance with these conditions of Sale.
9. ACKNOWLEDGEMENT OF ORDER
Once you have made your choice and your order has been placed through the Website, you will receive an email acknowledging the details of your order. This acknowledgement of order is not an acceptance of your order.
10. CONFIRMATION OF ORDER
Upon dispatch of your order, Verdura will manually send an email Order Confirmation. Acceptance of your order by Verdura concludes the offer and acceptance process, the result being the formation of an executed sales contract at the time Verdura sends the Confirmation of Order for the purchase of Verdura products and associated services.
11. PROOF OF AGREEMENT
The Acknowledgment and Confirmation of Order that are sent to you by email, are deemed to be received when you are able to access it. The Confirmation of Order on the Website will be proof of binding agreement between you and Verdura.
12. COMPLMENTARY SERVICES
The following complimentary services will be proposed, free of charge, on the Website:
12.1. Gift Wrap and Verdura Blue Box
All packages are systematically delivered gift wrapped in the Verdura Blue Box.
12.2. Gift note
You may personalize your order by adding a gift note printed by Verdura containing your message. If you have ordered several products, additional blank notes will be provided in the package that contains your order in the event there are no personalized notes required.
13. SHIPPING POLICY
We only take orders for delivery to addresses in the United States of America, the 50 states located therein, and its territories. Please note that Verdura does not ship to PO boxes, APO/FPO addresses and hotels.
When estimating package delivery time, please allow time for credit approval, address verification and order processing. Once the order is processed and ready for dispatch, we will send you an email confirmation that the order has been shipped (with the fed ex tracking number).
Please allow 3-5 business days for shipment once payment has been received for your order. An email confirmation with the fed ex tracking number will be sent to you.
*Saturdays, Sundays and holidays will not be considered as a regular business day with the respect to estimated delivery lead time.
When ordering products on the Website, if you, as the Customer, wish to receive an invoice to your billing address by regular mail, please request by email or call the sales support (toll free 1. 855-VERDURA /1.855.837.3872 or 212.758.3388).
Verdura insures each purchase during the time it is in transit until it is delivered to you. We require a signature by an adult to confirm your acceptance of each Verdura product delivered, at which point responsibility for your purchased goods passes to you.
In the event that you ship to a different address, as a security measure, if you have specified a recipient who is not you for delivery purposes (for example as a gift) then you understand and accept that evidence of a signature by such recipient (or that delivery address) is evidence of delivery and fulfillment of the sale contract by Verdura and transfer of responsibility to the recipient in the same way as if the product had been delivered to you.
14. RETURN POLICY
ONLINE PURCHASE 30 DAY RETURN POLICY
If you wish to return your purchase from this site, we will accept merchandise for a refund, if it is in its original sellable condition, within 30 days from the date of delivery.
Please call (toll free 1.855-VERDURA /1.855.837.3872 or 212.758.3388) or e-mail salessupport@VERDURA.com to obtain a Return Authorization Form. If the merchandise is acceptable for return in accordance with this policy, a Return Authorization Form will be emailed to you.
The merchandise returned must be in saleable condition together with its original packaging and a Return Authorization Form received from sales support. On-line purchases are to be returned to our corporate office in New York for processing to be eligible for a refund. For security reasons, all returns must be shipped or delivered in person to EJL, Inc. (dba Verdura):

Online Purchase Returns to Salon or Sales Support
On-line merchandise purchases may be returned in person to the Verdura salon located in New York or returned by mail to sales support for refund or merchandise credit only. A gift recipient will be entitled to a merchandise credit only.
Shipping Your Package
We recommend shipping merchandise for return via Federal Express for tracking purposes and request adequate insurance to cover the purchase price of the shipment.
We do not assume responsibility for reimbursement or compensation if a package is lost, stolen or mishandled.

Processing Your Return
Upon receiving your return, the item will be reviewed by our Quality Assurance Department. Please note that merchandise showing signs of wear or those that have been altered, resized (by a jeweler other than VERDURA), or damaged in any way will not be accepted for return. Engraved merchandise may not be returned. Returns without a Return Authorization Form or merchandise that is improperly packaged will not be accepted for return. Once the item is accepted for return, your refund or exchange will be processed within five business days from the date of our receipt, unless not practically possible. In the case of a refund, only the original purchaser’s account will be credited. In no event will the gift recipient be entitled to receive a refund.
